Welcome to the terms of use for MX Player's Local Video Player Service. These terms ("Terms") govern your use of the MX Player's Local Video Player Service ("Local Video Player Service") and operate between you and the entity providing the Local Video Player Service to you, which may be Amazon Seller Services Private Limited ("ASSPL") or one of its affiliates ("Amazon", "we" or "us").

Your Local Video Player Service provider may change from time to time, with or without prior notice (unless required by applicable law).

Please read these Terms along with the Privacy Notice and Conditions of Use (to the extent applicable to your use of the Local Video Player Service), and all other rules and policies related to the Local Video Player Service (including, but not limited to, any rules or usage provisions specified on any product detail page or on any help or other informational page for the Local Video Player Service) (collectively, this "Agreement"). The versions of these policies and notices applicable to you are available for your review to help you understand, among other things, how we handle your personal information. When you first accept this Agreement and each time you visit, browse, or use the Local Video Player Service, you accept this Agreement on behalf of yourself and all members of your household and others who use the Local Video Player Service through your account. If you are under 18 years of age, or the age of majority in your location, you may use the Local Video Player Service only with involvement of a parent or guardian.
1. LOCAL VIDEO PLAYER SERVICE
The Local Video Player Service is a software-based service that you can use to organize, play, edit, subtitle, and otherwise interact with media files, such as videos and music that are stored on your device, and which you have rights to use ("Local Media Files"). This service is currently available only on Android-based mobile devices.

There are several ways to access the Local Video Player Service. Your use of other Amazon services is governed by separate terms made available in the apps, websites, or devices you use to access those services. We also endeavour to continuously improve the User Experience ("UX") of the Local Video Player Service, and your experience with them.
2. COMPATIBLE DEVICES
To download and/or use the Local Video Player Service, you will require a compatible device that meets the system and compatibility requirements that we establish from time to time (a "Compatible Device"). In relation to the Local Video Player Service, the availability of certain service offerings, such as playback, may be contingent on the specific device and version of the Local Video Player Service being used.

We may change the requirements for Compatible Devices from time to time and, in some cases, whether a device is (or remains) a Compatible Device may depend on software or systems provided or maintained by the device manufacturer or other third parties. Accordingly, devices that are Compatible Devices at one time may cease to be Compatible Devices in the future due to software or hardware updates, or changes in service offerings. We retain the right to update, revise, or modify compatibility requirements at our sole discretion. In case of any other feedback relating to your use of the Local Video Player Service, including in relation to any technical troubleshooting or feature requests, you can reach out to us via the details provided in Section 8(l) below. We do not provide support for older versions of the Local Video Player Service, and shall not be responsible for any issues, disruptions, or diminished functionality arising from Your use of outdated versions; we recommend that the You use the most updated version of the application at all times for an optimal experience.
3. GEOGRAPHIC VARIABILITY
The Local Video Player Service is available in India and select territories outside India. However, access to its features and functionalities may vary based on location-specific regulations and/or technological compatibility.

Amazon will use technology to verify your geographic location, and you may not use (or attempt to use) any technology or technique to obscure or disguise your location, to circumvent these location-specific restrictions.

These Terms are applicable to the version of the Local Video Player Service available for use in India. For any use of the Local Video Player Service (or any part thereof) in any other territory, such use will also be governed by the relevant supplemental terms applicable to that territory (if any), in addition to these Terms. To the extent any such supplemental terms conflict with these Terms, the supplemental terms will prevail to the extent of such conflict.

Only those portions of these Terms that are relevant to the Local Video Player Service available to you in your location and on your Compatible Device will apply to your use of the Local Video Player Service.
4. FUNCTIONALITIES AND RESTRICTIONS
(a) Functionalities
Subject to location-specific regulations and/or technological compatibility, the Local Video Player Service allows you to:

(i)   Access and play Local Media Files stored on your Compatible Device, while controlling speed, brightness and volume of the playback ("Playback Functionality");
(ii)   Search for and view subtitles or lyrics with Local Media Files while they are being played ("Subtitles and Lyrics Functionality");
(iii)   Create and organize playlists, manage and rearrange Local Media Files for better accessibility ("Media Management Functionality");
(iv)   Transfer media files across Compatible Devices ("File Transfer Functionality");
(v)   Access and play video files stored in other Compatible Devices connected on your network ("Network Play Functionality");
(vi)   Perform basic editing functions like trimming and combining video clips with music or other media inputs ("Editing Functionality");
(vii)   Convert video files to audio files for local playback ("Conversion Functionality"); and
(viii)   Access media files stored in your cloud storage accounts ("Cloud Access Functionality").

(collectively, "Functionalities")
(b) Specific Restrictions
The following restrictions apply to the individual Functionalities of the Local Video Player Service. You may NOT:

(i)   Use the Playback Functionality to:
(A)   Circumvent digital rights management ("DRM") protections or encryption applied to media files;
(B)   Bypass location-based content restrictions or geographic licensing limitations;
(C)   Alter playback settings (e.g., speed or resolution) in a way that misrepresents the original content or violates intellectual property rights or applicable laws; or
(D)   Distribute or broadcast media content accessed through the Local Video Player Service without authorization.

(ii)   Use the Subtitles and Lyrics Functionality to:
(A)   Circumvent copyright restrictions on subtitles or lyrics embedded in media files;
(B)   Extract, modify, or distribute subtitles or lyrics for unauthorized use or in violation of applicable copyright laws; or
(C)   Misuse subtitles or lyrics to include false, misleading, or defamatory content.

(iii)   Use the Media Management Functionality to:
(A)   Store, organize, or manage media files in a way that violates intellectual property laws;
(B)   Distribute media files stored on unauthorized servers or in violation of copyright laws or data protection regulations; or
(C)   Circumvent restrictions on file storage formats or quotas defined in the Local Video Player Service.

(iv)   Use the File Transfer Functionality to:
(A)   Share, distribute or receive media files in a manner that violates copyright laws, involves illegal or harmful content, or is done without the express consent of the file owner;
(B)   Share files containing malicious software, viruses, or unauthorized code that could compromise user devices or the Local Video Player Service;
(C)   Share files with devices or users who are not explicitly authorized or verified to connect through the Local Video Player Service;
(D)   Attempt to manipulate or intercept data shared between Compatible Devices using unauthorized means, such as external software or tools; or
(E)   Circumvent restrictions on file sizes or formats allowed for transfer.

(v)   Use the Network Play Functionality to:
(A)   Stream or play video files on unauthorized networks or devices, bypassing network restrictions;
(B)   Share access to network-connected devices to enable unauthorized playback or distribution of media; or
(C)   Broadcast media files in violation of licensing agreements.

(vi)   Use the Editing Functionality to:
(A)   Edit or alter media files to misrepresent content, violate copyright laws, or create defamatory or harmful material;
(B)   Alter, obscure, or remove watermarks, logos, or other proprietary labels embedded in media files;
(C)   Bypass DRM technologies or other security measures protecting the content;
(D)   Create false or misleading representations of persons, events, or objects; or
(E)   Share or distribute edited files without proper authorization, or in violation of applicable laws.

(vii)   Use the Conversion Functionality to:
(A)   Bypass copyright protection mechanisms embedded in video or audio files;
(B)   Convert files into unauthorized formats for distribution or playback on non-compatible devices; or
(C)   Create derivative works from converted media in violation of intellectual property laws.

(viii)   Use the Cloud Access Functionality to:
(A)   Access, store, or display media files from cloud storage accounts that you do not own or have authorization to access;
(B)   Download, copy, or transfer media files in violation of the terms and conditions of the third-party cloud storage service providers;
(C)   Alter, bypass, or manipulate any restrictions or protections imposed by the cloud storage service's API or infrastructure, or gain unauthorized access to files; or
(D)   Integrate or interact with unsupported third-party cloud storage platforms.
(c) Security Risks
The File Transfer Functionality and Network Play Functionality may enable users to share media files and access video files across Compatible Devices connected to the same network. While these functionalities are provided for user convenience, you are responsible for ensuring that any shared content complies with applicable laws, is not harmful, and does not infringe third-party rights. Users are also advised to implement adequate security measures to prevent unauthorized access, data breaches, or loss of content, and take steps to protect their devices and credentials.

Except as required by applicable law, Amazon disclaims responsibility for any security risks, including unauthorized access or data loss, arising from the use of the Local Video Player Service. For more information on how we secure your personal data, please refer to the Privacy Notice.
(d) Data Storage and Access
Cloud Access Functionality allows users to access, and playback media files stored on integrated cloud storage platforms. Users may be required to authenticate with the cloud storage platform via the specific authentication API to enable use of the Cloud Access Functionality.

(i)   Prohibited Use: Users must not use this functionality to access cloud storage platforms without a valid license to such application or service. Any unauthorized access or misuse of the functionality is strictly prohibited.
(ii)   Compliance with third-party terms: Any use of such integrated cloud storage platforms is subject to stand-alone terms and conditions governing those platforms, including the licensing and usage restrictions imposed by the cloud storage platforms. Users agree to comply with the user agreement/ terms of use/ terms and conditions of the cloud storage platform, including any usage restrictions contained therein.
(iii)   Content restrictions: Users must ensure that no illegal, offensive, or infringing content is stored, shared, or otherwise made available using this functionality.
(iv)   Notification of breach: Users must promptly notify Amazon of any suspected or actual security breach or unauthorized access involving the Cloud Access Functionality.

Amazon disclaims responsibility for any loss, breach, or misuse of data stored through third-party cloud storage services, as such matters shall be governed by the terms of use of the relevant third-party service provider. This may include sharing relevant user information or taking necessary actions such as suspending or revoking access to the Cloud Access Functionality without notice (except as may be required by applicable law).
(e)   Certain Functionalities of the Local Video Player Service, including, but not limited to the File Transfer Functionality and Network Play Functionality, may involve interaction with third-party content, external integrations, or social media platforms. These features are designed for responsible use and may expose users to unregulated material.
5. GENERAL CONDITIONS OF USE
(a) Intellectual Property
The Local Video Player Service, its features, designs, software, and trademarks (excluding User Content), is and shall remain the exclusive property of Amazon and/or its licensors. All rights, titles, and interests, including, but not limited to copyrights, trademarks, trade secrets, database rights, and other proprietary rights, are protected by applicable laws in India and other jurisdictions. No ownership of, or license to, any intellectual property is transferred to you, except for the limited license expressly granted under this Agreement. The trademarks, logos and service marks displayed on the Local Video Player Service ("Marks") are the property of Amazon or third parties. You are not permitted to use the Marks without the prior consent of the owner of the Marks. Our failure to insist upon or enforce your strict compliance with this Agreement will not constitute a waiver of any of our rights.

Any feedback, suggestions, or ideas you submit to Amazon regarding the Local Video Player Service will be deemed non-confidential. Amazon may use, implement, or develop on such feedback without restriction, acknowledgment, or compensation, and you waive any rights or claims to the intellectual property in such submissions.

If you believe that your intellectual property rights have been infringed upon while using the Local Video Player Service, please notify us at [email protected], providing detailed information about the alleged infringement.
(b) Limited License
The Local Video Player Service is provided solely for your personal and non-commercial use. Subject to your compliance with the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Local Video Player Service.

Except for the foregoing limited license, no ownership, right, title, or interest in or to the Local Video Player Service, its underlying software, or any associated intellectual property shall be transferred to you. Your use of the Local Video Player Service is further subject to compliance with the restrictions and requirements outlined in this Agreement. For any other use, including commercial use, you must obtain explicit prior written permission from us. Unauthorized use may result in termination of your access and potential legal action.

Any unauthorized use of the Local Video Player Service, or infringement of its intellectual property rights may result in the termination of your license to use the Local Video Player Service, suspension of your account and/or legal action. Amazon reserves all rights, including the right to seek injunctive relief, damages, and other remedies permitted under applicable laws.
(c) User Content
Any information, photo, image, chat, communication, playlists, metadata, comments, files, software, text, sounds, videos, or any other material transmitted, uploaded, posted, e-mailed, or otherwise made available to us by users, through the Local Video Player Service ("User Content"), shall remain the sole responsibility of users. The Local Video Player Service is not a platform and does not host or facilitate User Content on a public scale. We do not monitor, moderate, or control User Content as a regular practice, nor do we have the capability to do so. We assume no liability for the accuracy, legality, or appropriateness of any User Content transmitted through the Local Video Player Service.

We also hereby expressly retain all rights as an intermediary that are available to us under applicable law.

By uploading, sharing, or submitting User Content through the Local Video Player Service, you grant Amazon a limited, non-exclusive, royalty-free, transferable license (with the right to sublicense) to use, process store, or display such content solely to the extent necessary to enable, operate, maintain, or improve the Local Video Player Service, or as expressly permitted by you.

In accessing and using the Local Video Player Service (including the various Functionalities), you represent, warrant, and agree to only use the Local Video Player Service in a manner that does not result in any outcome or information that:

(i)   is untrue, inaccurate, incomplete or unlawful;
(ii)   false, misleading or deceptive;
(iii)   defamatory, obscene, pornographic, pedophilic, invasive of another's privacy, including bodily privacy, insulting or harassing on the basis of gender, libelous, racially or ethnically objectionable, relating to or encouraging money laundering or gambling, or otherwise inconsistent with or contrary to applicable laws;
(iv)   discriminatory or that promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
(v)   harms minors in any way;
(vi)   deceives or misleads about its origin or is false or misleading in nature, but may be perceived as a fact;
(vii)   violates this Agreement or any other Amazon policies, as amended from time to time;
(viii)   violates any applicable laws and regulations or promote any activities which may violate any applicable laws; and
(ix)   contains any link directly or indirectly to any other websites, which includes any content that may violate this Agreement.

Further, you agree NOT to perform the following actions using the Local Video Player Service:

(i)   Generate, upload, or download any material belonging to a third party without necessary permissions;
(ii)   Host, display, publish, or share any material that infringes any patent, trademark, copyright or other proprietary rights, including, without limitation, intellectual property rights and rights of privacy or publicity;
(iii)   Annotate, access, or otherwise use material that threatens or violates the unity, integrity, defense, security or sovereignty of your jurisdiction, friendly relations with foreign states, public order, or incites unlawful activities;
(iv)   Transmit any software virus or computer code, file, or program intended to interrupt, destroy, or limit the functionality of any computer resource; or
(v)   Create or share content that is patently false, misleading, or intended to mislead or harass others for financial gain.
(d) General Restrictions
You acknowledge and agree that these Terms and our operation of the Local Video Player Service do not constitute any 'unfair trade practice' and do not discriminate between users in any impermissible manner.

Furthermore, you acknowledge and agree that the Local Video Player Service, and your use thereof, is subject to the following general restrictions. You may not:

(i)   Misuse the Local Video Player Service in any manner, including for undertaking fraudulent transactions, impersonation, or causing nuisance, annoyance, or harm;
(ii)   Copy, modify, adapt, translate, or create derivative works of the Local Video Player Service;
(iii)   Distribute, sell, lease, sublicense, or transfer any part of the Local Video Player Service to third parties;
(iv)   Circumvent, disable, or tamper with any security features or DRM protections incorporated into the Local Video Player Service;
(v)   Use the Local Video Player Service in any manner that infringes on intellectual property rights, violates applicable laws, or harms other users, or third parties;
(vi)   Modify, reproduce, distribute, reverse-engineer, sell, rent, lease, distribute, broadcast, or decompile the Local Video Player Service or any part thereof;
(vii)   Remove, alter, obscure, otherwise tamper with any proprietary notices, labels or marks on the intellectual property or content on the Local Video Player Service;
(viii)   Intentionally or unintentionally cause or attempt to cause harm, disrupt the Local Video Player Service, or interfere with its access or operations;
(ix)   Upload, post, or share any content or code that may interrupt, destroy, limit the Local Video Player Service, or other users' access to them;
(x)   Share your account credentials or any identification we provide you which allows access to the Local Video Player Service, with any other person;
(xi)   Engage in spamming or phishing activities; or
(xii)   Falsely represent yourself as a user and/or post reviews misrepresenting the quality or the features of the Local Video Player Service, or Functionalities.
6. USER PRIVACY
When you access and/or use the Local Video Player Service, we will collect certain personally identifiable information from you as set forth in our Privacy Notice (as updated from time to time) ("Privacy Policy"), which is incorporated herein by reference. Please refer to the Privacy Policy for information on our privacy practices. Your access and/or use of the Local Video Player Service signifies your acknowledgment of, and agreement to, the Privacy Policy.
7. DISCLAIMER
The Local Video Player Service is provided on an "as is" and "as available" basis, and we disclaim all express or implied warranties, including but not limited to:

(a)   Availability: The Local Video Player Service may not be continuously available, and we assume no liability for interruptions, delays, or access failures, regardless of the cause.
(b)   Accuracy of Information: Any metadata, content information, or recommendations provided by the Local Video Player Service are for convenience only and are not guaranteed to be accurate, complete, reliable, or non-misleading.
(c)   Security: While we implement reasonable safeguards, the Local Video Player Service is not guaranteed to be free from errors, viruses, malware, or other harmful components.
(d)   Functionality: The performance and availability of the Local Video Player Service may vary based on device compatibility, software updates, network conditions, and location-specific restrictions.
8. ADDITIONAL TERMS
(a) Termination of Access to the Local Video Player Service
We may terminate or temporarily suspend your access to the Local Video Player Service or any part of it, including any paid enrolment, at our discretion without notice (except as may be required by applicable law), for reasons including but not limited to breach of this Agreement, suspicious or fraudulent activity, prolonged inactivity, or failure to provide necessary consents or verification. Upon termination, access to the Local Video Player Service will be revoked, any accrued benefits forfeited, and your data, including login information and associated content, may be deleted unless required to be retained under applicable law.

If termination is due to a breach by you, no refund will be provided. For terminations unrelated to user breach, a pro-rated refund of any enrolment fee may be offered at our discretion. Certain provisions, including those related to indemnity and intellectual property rights, shall survive termination.
(b) Third-Party Links
The Local Video Player Service may include advertisements and hyperlinks to various external websites, applications, content, or resources ("Third-Party Links"). We have no control over such Third-Party Links present on the Local Video Player Service, which are provided by individuals or organizations other than us or our affiliates. The presence of any Third-Party Links on the Local Video Player Service cannot be construed as a recommendation, endorsement or solicitation of any material or content present on or available through such Third-Party Links, or any other material provided by such Third-Party Links.

We do not control and are not responsible for examining, evaluating, or endorsing the content, accuracy, legality or practices of such third-party websites, applications, or services, including those operated by entities that may be referenced on the Local Video Player Service. You acknowledge and agree that any reliance placed by you on the completeness, accuracy or safety of any advertising, products, services, or other materials on or available through the Third-Party Links is at your sole discretion and risk. This includes all transactions and information transmitted on such Third-Party Links between you and any third-party sites, applications or entities. All transactions undertaken by you on the Third-Party Links are strictly bipartite and we shall not be liable for any disputes arising from or in connection with such transactions or resulting claims, losses or damages.

We recommend that you carefully review the terms and conditions, and privacy policies of such third parties before engaging in any transactions or interactions with them.
(c) Communications
We may communicate with you electronically through e-mail, push notifications, or posts to your Amazon Message Center, which you consent to receive. These communications will be issued in accordance with the Privacy Notice.
(d) Updates and Modification of Local Video Player Service
Amazon may modify the Local Video Player Service (including but not limited to, any enrolments, functionalities, or delivery modes), and/or software from time to time, for several reasons, including (i) to improve existing, or add new, functionality and/or features, (ii) to improve or maintain the UX of the Local Video Player Service, (iii) to address operational or technical requirements, or (iv) for legal, regulatory or security reasons. Amazon may also, from time to time, introduce, modify, or discontinue any features, functionalities, service models or tiers of the Local Video Player Service (including free, ad-supported, subscription-based, transactional, promotional, bundled or premium offerings, whether existing or future). Unless otherwise specified, all such offerings form part of the Local Video Player Service and are governed by this Agreement. If and to the extent required under applicable law, we will notify you via e-mail or other electronic communication of any material changes to the Local Video Player Service that may materially and adversely impact its usability or accessibility. Any modifications made will aim to ensure the continued functionality and reliability of the Local Video Player Service. Amazon reserves the right to suspend, or discontinue the Local Video Player Service, or any part of it, at any time and without notice (except as required by applicable law or set out above), and Amazon will not be liable to you should it exercise such rights, even if your ability to access or use Functionalities is impacted by the change.
(e) Amendments
We reserve the right to modify this Agreement, including these Terms, for various reasons such as to comply with legal or regulatory requirements, enhance security, reflect technological advancements, improve existing features, add new functionalities, and/or make reasonable technical adjustments to the Local Video Player Service.

If we update these Terms, we will post the revised terms in connection with the Local Video Player Service on this page. You may choose not to accept these changes by ceasing to visit, browse, and use the Local Video Player Service (including cancelling your enrolment in any tiered service and deleting your account (if any)) at any time. To the maximum extent permitted by law, your continued use of the Local Video Player Service following any changes will constitute your acceptance of the updated terms.
(f) Disputes
Any dispute or claim arising from or relating to this Agreement and/or the Local Video Player Service is subject to the governing law, disclaimer of warranties, limitation of liability, dispute resolution, class action waiver (if applicable), and all other terms in the Conditions of Use (as updated from time to time). By using the Local Video Player Service, you agree to those terms on behalf of yourself and all members of your household and others who use the Local Video Player Service through your account.
(g) Limitation of Liability
Without limiting the disclaimer of warranties and limitation of liability in the Conditions of Use, in no event shall our total liability to you for all damages arising out of or related to your use or inability to use the Local Video Player Service exceed the amount of fifty U.S. dollars (USD 50.00). The limitations in this Section will apply to you even if the remedies fail of their essential purpose.

CERTAIN JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

Without limiting the generality of the foregoing and notwithstanding any other provision of these Terms, under no circumstances will we ever be liable to you or any other person for any indirect, incidental, consequential, special, punitive or exemplary loss or damage arising from, connected with, or relating to, your use of the Local Video Player Service, this Agreement, including but not limited to personal injury, loss of data, business, markets, savings, income, profits, use, production, reputation or goodwill, anticipated or otherwise, or economic loss, under any theory of liability (whether in contract, tort, strict liability or any other theory or law or equity), regardless of any negligence or other fault or wrongdoing (including, without limitation, gross negligence and fundamental breach) by Amazon or any person for whom Amazon is responsible, even if we have been advised of the possibility of such loss or damage.
(h) Severability
If any provision of this Agreement is found to be invalid, void, or for any reason unenforceable, that provision will be deemed severable from the rest of this Agreement and will not affect the validity and enforceability of the remaining provisions.
(i) Your Legal Rights
We are committed to providing the Local Video Player Service in compliance with this Agreement. If there is an issue with the Local Video Player Service or Functionalities, applicable laws (including applicable consumer protection laws) may grant you additional rights and remedies. These rights are supplementary to those outlined in this Agreement and remain unaffected by its terms.
(j) Assignment
This Agreement, including these Terms, and any rights and licenses granted hereunder, are personal to you and may not be transferred or assigned by you. Any attempted transfer or assignment shall be null and void. We are entitled to freely assign this Agreement, these Terms, and the rights, obligations or licenses granted hereunder.
(k) Waiver
Failure or delay to assert any right or provision under this Agreement shall not be construed as a waiver by us of any of our rights hereunder. A specific waiver of a term in this Agreement shall not be deemed as a continuing waiver of such term or any other terms.
(l) Grievance redressal mechanism
If you have any grievances, or complaints or concerns with respect to the Local Video Player Service, you can contact the designated Grievance Officer at:

By lodging a complaint or grievance, you agree to provide complete support to the Grievance Officer and such reasonable information as may be sought by them from you. We will acknowledge the receipt of your complaint within twenty-four (24) hours and provide you with a reference number to track your complaint. We shall process your complaint and appropriately respond within fifteen (15) days from the date of receipt of a complete complaint.
